1. About This Agreement

This End User Licence Agreement applies to your use of the GRYD mobile application, website, and related services operated by GRYD Group Limited.

This page is intended to sit alongside our Terms of Use and Privacy Policy. If you downloaded GRYD from the Apple App Store, Apple's standard Licensed Application End User License Agreement also applies unless a custom licence is accepted through App Store Connect.

2. Licence

GRYD Group Limited grants you a personal, limited, revocable, non-exclusive, non-transferable licence to install and use the GRYD app on devices that you own or control, solely for your own lawful personal use and in accordance with this agreement, the app store rules that apply to your download, and our Terms of Use.

The app is licensed, not sold. GRYD Group Limited and its licensors retain all rights, title, and interest in the app, platform, brand, content, software, designs, and related intellectual property.

3. Account And Community Access

GRYD is a community platform. You are responsible for the information you provide, the security of your account, and all activity that occurs through your account. Access to some features, communities, events, or administrative tools may require profile completion, approval, club membership, payment, or other eligibility checks.

We may suspend, restrict, or remove access where reasonably necessary to protect users, communities, events, platform security, legal compliance, or the integrity of GRYD.

4. Payments, Events, And Refunds

Paid event registration is processed through Stripe. Event pricing, booking fees, cancellation rules, refunds, and transfer handling are governed by the event terms shown in the product and by our Terms of Use.

You must not attempt to avoid payment, reverse a valid payment without a lawful basis, misuse discounts, resell access without permission, or interfere with another person's event registration.

5. Acceptable Use

You must not use GRYD to:

• Break the law or encourage unlawful activity
• Harass, threaten, abuse, impersonate, or exploit another person
• Upload malicious code or attempt to disrupt platform operation
• Scrape, copy, sell, or misuse user, community, or event data
• Infringe intellectual property, privacy, or other rights
• Bypass approval, access, payment, safety, or moderation controls

6. User Content

You keep ownership of content you submit to GRYD, but you grant GRYD Group Limited a worldwide, non-exclusive, royalty-free licence to host, store, process, display, and use that content as needed to operate, secure, moderate, improve, and provide the platform.

You are responsible for ensuring that you have the rights and consents needed for any content you submit, including profile content, community content, event details, images, reports, and chat messages.

7. Updates And Availability

We may update, change, suspend, or discontinue parts of GRYD at any time. Some features may require a current app version, supported device, internet connection, active account, or third-party service availability.

We do not guarantee that GRYD will be uninterrupted, error-free, or available in every location or on every device.

8. No Reverse Engineering

Except where allowed by law, you must not copy, modify, reverse engineer, decompile, disassemble, extract source code from, or create derivative works based on the app or platform.

9. Third-Party Services

GRYD integrates with third-party services such as app stores, Clerk, Convex, Stripe, Expo, Google Maps, and hosting or analytics providers. Your use of those services may be subject to their own terms, privacy notices, and technical requirements.

10. Termination

This licence continues until terminated. You may terminate it by deleting the app and stopping use of GRYD. We may terminate or restrict the licence if you breach this agreement, breach our Terms of Use, or create safety, security, legal, or operational risk.

On termination, you must stop using the app. Provisions that by their nature should survive termination, including intellectual property, payment, moderation, liability, and governing law provisions, continue to apply.

11. Liability

Nothing in this agreement excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.

To the fullest extent permitted by law, GRYD Group Limited is not liable for indirect, incidental, special, consequential, or punitive losses, or for loss of profits, revenue, goodwill, data, or opportunity arising from your use of GRYD.

12. Governing Law

This agreement is governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction, except where applicable consumer law gives you mandatory rights in another location.
